1. About These Terms
These Terms govern your use of thecodefactory.ai (the “Website”) and the services provided by The Code Factory (“The Code Factory”, “we”, “us” or “our”). By using the Website or our services, you agree to these Terms. If you are using our services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
Where you have signed a separate agreement, order form or statement of work with us, that document will take precedence over these Terms to the extent of any conflict.
2. Who We Are
The Code Factory is the software engineering and remediation arm of The Code Registry. We help organisations design, build, verify, remediate and improve software, including applications created using AI tools.
3. Using Our Website
You may use the Website for lawful purposes only. You must not:
- attempt to gain unauthorised access to the Website, its servers or any connected systems;
- introduce malware, or interfere with the Website’s operation or security;
- use automated tools to scrape, copy or harvest content from the Website without our written permission;
- submit false, misleading or unlawful information through our forms.
Content on the Website is provided for general information only and does not constitute professional, legal or technical advice. We may update, suspend or withdraw any part of the Website at any time.
4. Our Services
Our services include code reviews and assessments, security hardening and vulnerability remediation, performance and scalability improvements, platform modernisation, user experience improvements and ongoing engineering support. The specific scope of any engagement will be confirmed with you before work begins.
Service descriptions, package features and examples on the Website are indicative. They do not form a binding commitment until confirmed in writing for your engagement.
5. Code Registry™ Audits and Certification
Engagements typically begin with an independent assessment of your codebase by The Code Registry. Audit findings, scores and recommendations reflect the state of the codebase at the time of assessment and are based on the code and information made available to us.
Any Enterprise AI Ready™ certification confirms that the agreed remediation was completed and reassessed at a point in time. It is not a guarantee that the software is free from defects, vulnerabilities or security incidents, and it does not cover changes made after certification.
6. Credit Packages, Pricing and Payment
Our services are offered through monthly Credit packages. Credits can be used across approved services, and the number of Credits required for a piece of work will be agreed with you before that work begins.
Prices shown on the Website are “starting from” prices and may vary depending on the scope and complexity of your requirements. The price, Credit allocation, billing terms and any commitment period for your subscription will be confirmed when you subscribe. Credits have no cash value and cannot be exchanged for money.
7. Your Responsibilities
To allow us to deliver our services, you agree to:
- provide timely access to the code, systems, environments, documentation and people reasonably required;
- ensure you have the right to share any code, data or materials you provide to us;
- keep your own backups of your code, data and systems;
- review and approve work, including changes deployed to production environments;
- maintain the security of any credentials you share with us and revoke access when it is no longer required.
We are not responsible for delays or issues caused by incomplete information, unavailable access or third-party systems outside our control.
8. Confidentiality and Access to Your Code
We treat your source code, data, systems and business information as confidential. We use it only to deliver the services you have requested and restrict access to the people who need it to do that work.
We will not disclose your confidential information to third parties, except to The Code Registry and service providers involved in delivering your engagement, or where required by law. These obligations do not apply to information that is publicly available or that we already lawfully held.
9. Intellectual Property
You retain ownership of your existing code, data, materials and intellectual property. Nothing in these Terms transfers ownership of your intellectual property to us.
We retain ownership of our pre-existing tools, methods, templates, know-how and general skills, and of the content on this Website, including our names, logos and trademarks. You may not use our branding without our written permission.
10. AI-Generated Code and Third-Party Tools
Many of the applications we work on were created using third-party AI tools and platforms. We are not responsible for the output of those tools or for the terms, licensing, availability or conduct of any third-party platform, library, hosting provider or service you use.
The Website may link to third-party websites and services, including our booking provider. Those services are governed by their own terms and privacy policies.
11. Disclaimers
We deliver our services with reasonable skill and care. However, no software can be guaranteed to be completely secure, error-free or uninterrupted. Except as expressly stated in these Terms or in a written agreement with you, the Website and our services are provided without any other warranties, to the extent permitted by law.
12. Limitation of Liability
To the extent permitted by law, we will not be liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or data, arising from your use of the Website or our services.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.
13. Suspension and Termination
We may suspend or restrict access to the Website or our services if you breach these Terms, fail to pay amounts due, or if we reasonably believe your use creates a security or legal risk. Provisions that by their nature should continue after termination, including confidentiality, intellectual property and limitation of liability, will continue to apply.
14. Privacy
Our use of personal information is described in our Privacy Policy.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on this page with a revised “Last updated” date. Your continued use of the Website or our services after an update means you accept the revised Terms.
16. Contact Us
